Terms of Service

These Terms of Service (“Terms”) govern your use of Momenta (the “Service”), operated by UXOKDC LLC(“Momenta,” “we,” “us”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy and Messaging Terms.

The Service

Momenta is software that helps real-estate agents manage contacts and communicate with leads and clients, including AI-assisted message drafting, lead qualification, and follow-up organization.

Eligibility and accounts

• You must be at least 18 years old and, where the Service is used for real-estate activity, a licensed real-estate professional or acting under one.
• You are responsible for the accuracy of your account information and for keeping your login secure. You are responsible for activity under your account.

Your responsibilities and acceptable use

You agree that you will:

• Obtain any consent required before messaging a Contact, and comply with all applicable laws and rules governing communications, including the Telephone Consumer Protection Act (TCPA), CTIA guidelines, and carrier (A2P 10DLC) requirements.
• Comply with fair-housing laws and never use the Service to discriminate on the basis of race, color, religion, sex, familial status, national origin, disability, or any other protected class.
• Honor opt-out requests and not send unlawful, deceptive, harassing, or unsolicited bulk messages (spam).
• Use the Service only for lawful business purposes and not attempt to disrupt or gain unauthorized access to it.

You are responsible for the messages sent from your account, including messages you approve and, where you enable automatic sending, messages sent under the settings you choose.

AI-assisted features

The Service uses automated tools, including AI, to suggest message drafts and extract information. These outputs may be inaccurate or incomplete. You are responsible for reviewing content and for the messages you send. The Service does not provide legal, financial, tax, or professional advice, and AI suggestions are not a substitute for your professional judgment.

Messaging

Text messaging through the Service is subject to our Messaging Terms. You are responsible for having a lawful basis and any required consent to message your Contacts.

Fees

Some features may require a paid subscription. Pricing and payment terms will be presented before you are charged. Except where required by law, fees are non-refundable. If no fee is presented, the Service is provided during the applicable trial or evaluation period at no charge and may change.

Intellectual property

We and our licensors own the Service and all related intellectual property. You retain ownership of the data you provide (“Your Content”) and grant us a limited license to host and process Your Content solely to provide the Service. Third-party services used within the Service are subject to their own terms.

Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that messages will be delivered.

Limitation of liability

To the maximum extent permitted by law, Momenta and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to your use of the Service. Our total liability for any claim will not exceed the greater of the amounts you paid us in the twelve months before the claim or US $100.

Indemnification

You will indemnify and hold harmless Momenta and its operators from claims arising out of your use of the Service, Your Content, or your violation of these Terms or applicable law — including claims relating to messages sent from your account or your handling of Contacts’ information.

Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or to protect the Service. Provisions that by their nature should survive termination will survive.

Governing law

These Terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-laws rules. Disputes will be resolved in the courts located there, unless otherwise required by law.

Changes

We may update these Terms. Material changes will be posted here with an updated effective date; continued use means you accept them.
